AOP Technologies Conditions and Offer of Sale
Wholesale Only: Air-Oil Products Corporation ("AOP") ("Seller") sells its complete offering wholesale to Business Customers, while also serving individuals, ("Customers").
Prices: Prices listed are wholesale, do not include freight, handling fees, taxes, and/or duties, and are subject to correction or change without notice. AOP reserves the right to accept or reject any order.
Sales Tax: Customer is responsible for payment of all applicable state and local taxes, or for providing a valid sales tax exemption certificate. When placing an order, Customer shall indicate which products are tax exempt.

Warranty: Seller warrants that the items sold hereunder shall be free from defects in material or workmanship for a period equal to the manufacturer's warranty period from date of shipment from AOP Technologies. This Warranty Comprises The Sole And Entire Warranty Pertaining To Items Provided Hereunder. All Other Warranties Whether Express, Implied, Or Arising By Operation Of Law, Or Course Of Dealing Are Hereby Disclaimed.
Limitation of Remedy: Seller's liability arising from or in any way connected with the items to be sold hereunder shall be limited exclusively to repair or replacement of the items sold, at Seller's sole option. In no event shall Seller be liable for any incidental, consequential, punitive, or other damages of any kind whatsoever, including but not limited to lost profits arising from, or in any way connected with, the items to be sold hereunder.
Product suitability for intended application: Seller shall in no way be held liable for the application suitability of products sold to Buyer. Application suitability of all products is the sole responsibility of the Buyer.
Returns Policy:
No goods returned for refund or credit will be accepted unless accompanied by an AOP Return Goods Authorization (RGA) number. All returns must clearly indicate the RGA number in the return documentation. To obtain an RGA contact AOP's Support Department @ 253.735.5449.
Delivery: Delivery shall be made F.O.B. Seller's dock unless otherwise agreed to, in writing, by both parties. Buyer agrees to pay all S&H charges associated with the cost of the shipment. On orders requesting multiple shipping dates, each shipment will be considered a separate order in applying S&H charges. Risk of loss shall pass to Buyer upon Seller's delivery to a carrier. Date of delivery is estimated based on current conditions. Seller is not responsible for damages or loss resulting from failure to meet the estimated delivery schedule. If the product is damaged in transit, Customer's only recourse is to file a claim with the carrier.
Payment Terms: AOP accepts Visa, Mastercard, American Express and will ship C.O.D upon request. For open credit accounts, all invoices are due and payable no later than thirty (30) calendar days after the date of invoice. A 1% discount is allowed for payment received within 10 days of invoice date. If payment is not received on or before due date, the account will be considered past due. All past due balances are assessed a late charge of 1.5% per month for each 30 day period or any portion thereof, in which the amount is past due. Waiver of any service charge shall not be deemed to be a waiver of future charges. Credit may be terminated by AOP (AOP Technologies, Inc.) for any reason at any time. Credit is granted in reliance upon representations made by the Applicant in this application and elsewhere.
If legal action or other action is commenced to collect any amounts owing by the Applicant, AOP shall be entitled to recover from the Applicant its reasonable attorney fees, together with all related costs, expenses and all court and arbitration costs, expenses, and disbursements at trials and hearings and on any appeal. Any dispute or claim that arises out of, or that relates to any obligations of Applicant or guarantors of Applicant's obligations to AOP shall be resolved by arbitration in Auburn WA, in accordance with the then effective rules of the American Arbitration Association. Judgment upon the award rendered pursuant to such arbitration may be entered in any court having jurisdiction thereof. The laws of the State of WA will control all legal and other proceedings. In addition, the Applicant and guarantors of the Applicant's obligations to AOP jointly and severally shall be obligated to pay AOP a sum not to exceed Three Hundred Dollars ($300.00) for an asset investigation and all fees charged by collection agencies used by AOP to collect amounts owing by Applicant should there be an amount past due for a period of 30 calendar days or longer.
Quotation Expiration: All quotations are valid for 30 days from quotation date, unless otherwise specified.
